These Terms & Conditions (“Terms”) govern your access to and use of the nanosophia platform, websites and related services (the “Service”), operated by nanosophia (“nanosophia”, “we”, “us” or “our”), a company registered in England and Wales (Company No. 17250136). By creating an account, or by accessing or using the Service, you confirm that you have read, understood and agree to be bound by these Terms and by our Privacy Policy. If you do not agree, you must not use the Service.
1. The Service
nanosophia provides software that uses automated processing and artificial intelligence (“AI”) to ingest, extract, summarise, compare and analyse construction tender, bid and procurement documents, and to generate related outputs, comparisons and assets. The Service is provided to assist your own professional judgement. It is a decision support tool only and is not a substitute for independent professional, legal, financial, commercial or technical advice.
2. Eligibility & accounts
You must be at least 18 years old and capable of forming a binding contract to use the Service. You are responsible for keeping your account credentials confidential and for all activity that occurs under your account. You must provide accurate information and keep it up to date. You may use the Service only in compliance with these Terms and all applicable laws.
3. Your content
You retain all rights in the documents, data and materials you upload or submit to the Service (“Your Content”). You grant us a non-exclusive licence to host, process, copy and transmit Your Content as necessary to operate and provide the Service to you. You represent and warrant that you have all rights and permissions needed to upload Your Content and that doing so does not infringe the rights of any third party or breach any duty of confidentiality.
4. AI outputs — accuracy, errors and your responsibility
You acknowledge and accept that the Service relies on artificial intelligence and automated processing, and that AI systems are inherently probabilistic and imperfect. AI-generated and automated outputs can and do contain errors, and may be inaccurate, incomplete, outdated, misleading or otherwise unreliable. Without limitation, you acknowledge that the Service may:
- misread, mistranscribe, misinterpret or incorrectly extract text, figures, prices, dates, quantities or other information from a document;
- omit, drop, skip, duplicate or fail to identify documents, line items, clauses, requirements, attachments, pages or values;
- fail to find, retrieve or match information that is in fact present (false negatives), or surface information that is not actually present or relevant (false positives, including fabricated or “hallucinated” content);
- mis-classify, mis-rank, mis-align or incorrectly compare bids, bidders, scores, totals, risks or obligations;
- produce calculations, summaries, recommendations or generated assets that are wrong, inconsistent or not fit for your particular purpose; and
- behave inconsistently, returning different outputs for the same or similar inputs.
All outputs of the Service are provided for your assistance only and must be independently checked, reviewed and verified by you against the underlying source documents and other authoritative sources before you rely on them or make any decision. You are solely responsible for any decision you make, action you take or refrain from taking, contract you enter into, or award you make in reliance on the Service or its outputs. To the maximum extent permitted by law, nanosophia is not responsible or liable for any error, omission, inaccuracy, dropped or missed item, failed or incorrect lookup or match, miscalculation, or any other defect or shortcoming in any AI-generated or automated output, or for any loss or damage arising from your reliance on such output.
5. Acceptable use
You agree not to:
- use the Service for any unlawful, fraudulent or harmful purpose, or in breach of any procurement law, regulation or duty applicable to you;
- upload content you are not permitted to upload, or that is unlawful, infringing or confidential without authority;
- attempt to gain unauthorised access to, interfere with, damage or disrupt the Service or its underlying infrastructure;
- reverse engineer, scrape, or use the Service to build a competing product, or resell or sublicense the Service without our written consent.
6. Fees, credit & billing
Where the Service is provided on a paid or prepaid basis, you agree to pay all applicable fees. Token, credit or wallet balances are consumed as you use the Service and are metered by usage. Save as required by law, fees and balances are non-refundable. We may change our pricing on reasonable notice.
7. Availability & changes
We aim to keep the Service available but do not guarantee that it will be uninterrupted, error-free or secure. We may modify, suspend or discontinue all or part of the Service, including features and AI models, at any time. We are not liable for any unavailability or change.
8. Disclaimer of warranties
To the maximum extent permitted by law, the Service and all outputs are provided “as is” and “as available”, without warranties of any kind, whether express or implied, including any implied warranties or conditions of satisfactory quality, accuracy, fitness for a particular purpose and non-infringement. We do not warrant that the Service or any output is accurate, complete, current or reliable.
9. Limitation of liability
Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be excluded or limited under English law.
Subject to the paragraph above, to the maximum extent permitted by law: (a) we shall not be liable for any indirect, special, incidental or consequential loss, or for any loss of profit, revenue, business, anticipated savings, goodwill, contracts, opportunity or data, whether arising in contract, tort (including negligence), breach of statutory duty or otherwise, even if foreseeable; and (b) our total aggregate liability arising out of or in connection with the Service and these Terms shall not exceed the greater of (i) the total fees you paid to us for the Service in the three (3) months immediately preceding the event giving rise to the claim, or (ii) £100. You accept that this allocation of risk is reasonable given the nature of the Service as an AI-assisted decision support tool.
10. Indemnity
You agree to indemnify and hold harmless nanosophia and its officers, employees and agents against all claims, losses, liabilities, costs and expenses arising out of or in connection with your use of the Service, Your Content, or your breach of these Terms or of any applicable law.
11. Termination
We may suspend or terminate your access to the Service at any time if you breach these Terms or if we reasonably consider it necessary. You may stop using the Service at any time. Provisions which by their nature should survive termination will survive.
12. Governing law & jurisdiction
These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) are governed by the laws of England and Wales, and the courts of England and Wales shall have exclusive jurisdiction.
13. Changes to these Terms
We may update these Terms from time to time. Where changes are material we will take reasonable steps to notify you. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
